Terms and Conditions of Service

Effective Date: July 3, 2026

These Terms and Conditions ("Agreement") govern all services provided by Alexander David Media LLC ("ADM"). By placing an order, paying an invoice, scheduling an appointment, accepting delivery of media, or otherwise engaging Alexander David Media LLC, the Client agrees to be bound by these Terms and Conditions.

1. Services

Alexander David Media LLC provides professional real estate media services, including, but not limited to:

  • Real Estate Photography

  • Videography

  • Drone Photography

  • Drone Videography

  • Floor Plans

  • Virtual Tours

  • Virtual Staging

  • Twilight Photography

  • Marketing Content

  • Branding Media

  • Social Media Content

  • Headshots

  • Other related visual marketing services

Services are intended primarily for:

  • Real estate agents

  • Brokerages

  • Builders

  • Property owners

  • Investors

  • Property managers

  • Short-term rental operators

Alexander David Media LLC reserves the right to modify, discontinue, substitute, or refuse any service at its sole discretion.

2. Booking and Payment

  • All services must be paid in full at the time of booking unless otherwise approved by Alexander David Media LLC in writing.

  • Appointments are not reserved until payment has been received and booking confirmation has been issued.

  • Payment reserves the appointment time exclusively for the Client.

  • Failure to submit payment does not reserve a date or appointment.

  • Prices are subject to change without notice; however, confirmed bookings will be honored at the quoted rate.

  • Sales tax will be charged where required by applicable law.

3. Property Access and Readiness

The Client is solely responsible for ensuring Alexander David Media LLC has complete and uninterrupted access to the property.

This includes, but is not limited to:

  • Lockbox access

  • Gate codes

  • Keys

  • HOA approvals

  • Homeowner approval

  • Tenant approval

  • Builder approval

  • Property manager approval

  • Utility availability

  • Parking access

  • Elevator access

  • Any other required permissions

The property must be fully prepared before the scheduled appointment.

Preparation includes, but is not limited to:

  • Cleaning

  • Decluttering

  • Staging

  • Lawn maintenance

  • Pool preparation

  • Replacing burned-out light bulbs

  • Opening blinds and curtains

  • Turning on utilities

  • Removing vehicles where appropriate

  • Securing pets

  • Ensuring all requested spaces are accessible

Alexander David Media LLC is not responsible for delays or reduced quality resulting from:

  • Active cleaners

  • Contractors

  • Movers

  • Occupants

  • Homeowners

  • Tenants

  • Guests

  • Construction

  • Utility outages

  • Restricted access

  • Unsafe conditions

  • Any third-party interference

If the property is not ready upon arrival, Alexander David Media LLC may photograph or film the property in its existing condition in order to remain on schedule.

3A. Property Priorities and Special Requests

The Client is solely responsible for identifying any specific marketing priorities before the appointment.

Examples include, but are not limited to:

  • Views

  • Flower beds

  • Landscaping

  • Pools

  • Outdoor kitchens

  • Guest houses

  • Casitas

  • Garages

  • Workshops

  • Barns

  • Wine rooms

  • Butler's pantries

  • Smart home features

  • Architectural details

  • Premium finishes

  • Community amenities

  • Any feature the Client considers important

All special requests must be submitted in writing before the appointment through either:

  • Booking order notes, or

  • Email

Alexander David Media LLC is not responsible for assumptions regarding what the Client considers important.

Unless specifically requested in writing before the appointment, Alexander David Media LLC will photograph and film the property using its professional judgment and standard real estate media workflow.

Features not requested in writing before the appointment are considered outside the original scope of work.

Requests submitted after completion of the appointment for additional photographs or video of previously unidentified features constitute additional work and may require a new appointment billed at Alexander David Media LLC's current minimum service fee.

Verbal requests, text messages, phone calls, social media messages, or assumptions do not modify the scope of work unless acknowledged by Alexander David Media LLC in writing.

4. Scope of Work

Unless otherwise agreed in writing, Alexander David Media LLC will determine the professional methods necessary to produce the purchased media package.

This includes, at Alexander David Media LLC's sole professional discretion:

  • Number of delivered images

  • Camera placement

  • Composition

  • Lens selection

  • Exposure

  • Framing

  • Shooting sequence

  • Editing style

  • Coverage

  • Delivery order

  • Technical workflow

The Client purchases a professional media package, not specific compositions or artistic interpretations unless expressly agreed upon in writing.

Requests outside the agreed scope—including additional photographs, alternate compositions, additional rooms, new marketing angles, or return visits—constitute additional work and may be billed separately.

5. Creative Discretion

Alexander David Media LLC retains sole artistic and technical discretion over the creation of all media.

Creative decisions include, but are not limited to:

  • Composition

  • Camera angles

  • Lens choice

  • Height

  • Perspective

  • Exposure

  • Color grading

  • Editing style

  • Video pacing

  • Music selection

  • Scene sequencing

  • Drone flight path

  • Camera movement

Subjective preferences regarding artistic style do not constitute a defect or grounds for a complimentary reshoot or refund.
 

6. Delivery Timelines

Standard delivery timelines are:

  • Photography: Within twenty-four (24) hours after completion of the appointment.

  • Video: Within four (4) business days after completion of the appointment.

Delivery timelines begin upon completion of the appointment, not the originally scheduled appointment time.

If the appointment cannot be completed because of Client-caused delays or access issues, delivery timelines begin only after the remaining work has been completed.

Delivery estimates may be extended due to:

  • Weather

  • FAA restrictions

  • Equipment failure

  • Internet outages

  • Power outages

  • Illness

  • Force majeure

  • Third-party software failures

  • Circumstances beyond ADM's reasonable control

Each deliverable constitutes its own project for purposes of revisions, acceptance, and review periods.

7. Review Period and Acceptance

The Client has twenty-four (24) hours from delivery of each individual media product to review the media and submit any concerns.

All review requests must:

  • Be submitted by email.

  • Be consolidated into one email.

  • Clearly identify each requested correction.

The review period exists solely to identify:

  • Editing errors

  • Technical defects

  • Omissions relating to written requests submitted before the appointment

The review period may not be used to request:

  • Additional photographs

  • Different compositions

  • Alternate camera angles

  • Different artistic styles

  • Features not previously requested in writing

  • Additional rooms

  • Additional exterior details

  • Property changes occurring after the appointment

Failure to submit written concerns within twenty-four (24) hours constitutes acceptance of the delivered media.

8. Revision Policy

One (1) complimentary round of simple editing revisions is included with each delivered media product.

All revision requests must:

  • Be submitted by email.

  • Be submitted within twenty-four (24) hours of delivery.

  • Be consolidated into a single email.

  • Clearly identify every requested revision.

Complimentary photography revisions are limited to:

  • Color temperature adjustments

  • Color tone adjustments

  • Exposure adjustments

  • Brightness adjustments

  • Contrast adjustments

  • Minor cropping

  • Minor straightening

  • Correction of editing errors

Complimentary revisions do not include:

  • Requests for a different editing style

  • Sky replacements not purchased

  • Virtual staging

  • Virtual decluttering

  • Object removal

  • Extensive Photoshop work

  • Additional photographs

  • Additional video clips

  • Return visits

  • Property changes occurring after the appointment

Video revisions are limited to:

  • Misspellings

  • Text corrections

  • Minor clip substitutions

  • Editing mistakes

Music changes, restructuring, new editing styles, alternate pacing, major sequencing changes, or other creative revisions are not included.

After completion of the complimentary revision round, any additional revision requests will be billed at a flat rate of $100 per revision round, payable prior to commencement of additional editing.

9. Reshoot Policy

If Alexander David Media LLC fails to capture media that was specifically requested by the Client in writing through the booking order notes or by email prior to the appointment, solely due to an oversight within ADM's control, ADM will return to the property at no additional charge to correct the omission.

Complimentary reshoots apply only to written requests submitted through:

  • Booking order notes, or

  • Email

before the appointment.

Verbal requests, phone calls, text messages, social media messages, assumptions, customary marketing expectations, or requests made after the appointment has concluded do not qualify for a complimentary reshoot unless acknowledged by ADM in writing prior to the appointment.

Alexander David Media LLC is not responsible for returning to capture:

  • Property features

  • Landscaping

  • Flower beds

  • Views

  • Appliances

  • Fixtures

  • Architectural details

  • Exterior amenities

  • Interior amenities

  • Community amenities

  • Rooms

  • Angles

  • Marketing features

  • Decorative elements

  • Other subjects not specifically requested in writing before the appointment

Complimentary reshoots do not apply when missed content results from:

  • Active cleaners

  • Contractors

  • Movers

  • Homeowners

  • Tenants

  • Guests

  • Restricted access

  • Locked rooms

  • Property preparation issues

  • Last-minute staging changes

  • Client-directed shooting order

  • Requests made after the appointment

  • Features not previously communicated in writing

  • Circumstances requiring the appointment to be completed out of sequence

  • Circumstances increasing the likelihood of missed content

If the Client requests additional media after completion of the appointment for any feature not previously requested in writing, the request constitutes a new service and may require a return appointment billed at ADM's current minimum service fee.

10. Weather Policy

Exterior photography, drone photography, videography, twilight photography, and other outdoor services are weather dependent.

Alexander David Media LLC reserves the right to postpone, modify, or reschedule outdoor services when weather conditions would negatively impact quality, legality, equipment safety, or personnel safety.

ADM shall determine, in its sole professional judgment, whether weather conditions are suitable.

Weather-related delays do not constitute a breach of this Agreement.

Changes occurring after the appointment, including but not limited to:

  • Improved weather

  • Sunny skies

  • Different cloud cover

  • Seasonal landscaping

  • Greener grass

  • Blooming flowers

  • Fall foliage

  • Snow

  • Water levels

  • Pool cleanliness

  • Seasonal decorations

do not entitle the Client to a complimentary reshoot.

11. Property Changes After the Appointment

Any change made to the property after completion of the appointment constitutes a new scope of work.

Examples include:

  • Additional staging

  • Furniture delivery

  • Landscaping improvements

  • Pressure washing

  • Repairs

  • Renovations

  • Painting

  • Cleaning

  • Pool filling

  • Lighting installation

  • Appliance installation

  • Decor changes

Any return visit required due to property changes will be billed at ADM's current rates.

12. Drone Services

Drone operations are subject to:

  • FAA regulations

  • Temporary Flight Restrictions

  • Airspace authorizations

  • Weather

  • Equipment limitations

  • Pilot discretion

Alexander David Media LLC reserves the absolute right to cancel, postpone, modify, or refuse drone operations if conditions are unsafe or prohibited by law.

The FAA Remote Pilot in Command maintains final authority over:

  • Flight path

  • Camera angle

  • Flight altitude

  • Launch location

  • Safety decisions

  • Operational limitations

No Client instruction may require ADM to violate FAA regulations or compromise operational safety.

13. Floor Plan Disclaimer

Floor plans are marketing tools only.

They are not:

  • Surveys

  • Architectural drawings

  • Engineering documents

  • Appraisals

  • Legal descriptions

Dimensions, square footage, layouts, and measurements are approximate.

The Client is solely responsible for verifying all measurements before relying upon them.

Alexander David Media LLC shall not be liable for measurement discrepancies.

14. MLS and Third-Party Compliance

The Client is solely responsible for ensuring delivered media satisfies the requirements of:

  • MLS systems

  • Brokerages

  • Builders

  • Homeowners Associations

  • Government agencies

  • Lenders

  • Marketing platforms

  • Third-party advertising platforms

Alexander David Media LLC does not guarantee compliance with any third-party requirements unless specifically agreed upon in writing.

15. RAW Files

Unless otherwise agreed in writing, Alexander David Media LLC retains exclusive ownership of:

  • RAW photographs

  • RAW video files

  • Unedited footage

  • Test images

  • Rejected images

  • Duplicate exposures

  • Bracketed exposures

  • Working files

  • Project files

Only the final edited media selected by ADM will be delivered.

RAW files are not included in any package unless purchased separately in writing.

16. Client Communication

All project-related communications concerning revisions, corrections, service issues, or contractual matters must be submitted by email.

ADM is not responsible for acting upon requests submitted by:

  • Text message

  • Telephone

  • Voicemail

  • Instagram

  • Facebook

  • Other social media

  • Any communication platform other than email

unless acknowledged by ADM in writing.

17. Client-Caused Delays

If ADM arrives at the scheduled appointment and cannot begin or complete services because of Client-related issues, including but not limited to:

  • Incorrect access information

  • Missing lockbox codes

  • Occupied property

  • Active contractors

  • Delayed cleaners

  • Utility outages

  • Safety concerns

  • Restricted access

ADM may:

  • Photograph only accessible portions of the property;

  • Reschedule the appointment; or

  • Charge its current minimum service fee for any required return visit.

18. Rescheduling, Cancellation, and Account Credit

Each booking includes one (1) complimentary reschedule.

Additional rescheduling requests may be subject to additional fees.

Payments are non-refundable.

If a Client cancels a booking, payments received shall be converted into non-transferable account credit.

Account credit:

  • May be applied toward future services provided by Alexander David Media LLC.

  • Expires six (6) months from the original scheduled appointment date unless otherwise approved in writing by ADM.

Unused account credit will be forfeited upon expiration.
 

19. Instagram Collaboration

For discounted branding video services requiring social media collaboration, the Client agrees to invite Alexander David Media LLC as a collaborator on the original Instagram post whenever the feature is available.

Failure to provide collaboration access may result in the loss of promotional pricing, preferred-client benefits, or future partnership pricing.

20. Copyright and License

All media produced by Alexander David Media LLC remains the exclusive intellectual property of Alexander David Media LLC.

Upon full payment, the Client receives a perpetual, non-exclusive, transferable, royalty-free license to use the delivered media for lawful marketing and promotional purposes related to the property.

Until payment has been received in full, no license is granted.

The Client may not:

  • Claim authorship.

  • Sell the media as stock photography or stock video.

  • License the media for unrelated commercial resale.

  • Remove copyright information where present.

Alexander David Media LLC retains the unrestricted right to use all media for:

  • Portfolio

  • Advertising

  • Marketing

  • Social media

  • Website

  • Education

  • Competitions

  • Business promotion

unless otherwise agreed in writing before the appointment.

21. Portfolio Rights

Unless the Client requests confidentiality in writing before the appointment, Alexander David Media LLC may use any created media for promotional purposes.

Privacy requests must be submitted before the appointment and may require additional fees.

22. Limitation of Liability

Alexander David Media LLC's maximum liability shall never exceed the amount paid for the specific service giving rise to the claim.

Alexander David Media LLC shall not be liable for:

  • Lost profits

  • Lost commissions

  • Lost listings

  • Reduced sales price

  • Marketing expenses

  • Closing delays

  • Financing delays

  • Lost opportunities

  • Incidental damages

  • Consequential damages

  • Special damages

  • Indirect damages

23. Force Majeure

Alexander David Media LLC shall not be liable for delays or inability to perform caused by circumstances beyond its reasonable control, including but not limited to:

  • Severe weather

  • Natural disasters

  • Equipment failure

  • Internet outages

  • Illness

  • FAA restrictions

  • Government actions

  • Labor disruptions

  • Acts of God

  • Civil emergencies

  • Other unforeseen circumstances

24. Governing Law

This Agreement shall be governed by the laws of the State of Texas.

Any dispute shall be brought exclusively in the state or federal courts located within the State of Texas.

25. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

26. Waiver

Failure by Alexander David Media LLC to enforce any provision of this Agreement shall not constitute a waiver of any future enforcement of that provision or any other provision.

27. Entire Agreement

These Terms and Conditions constitute the entire agreement between the parties and supersede all prior discussions, representations, negotiations, understandings, or agreements relating to the services provided by Alexander David Media LLC.

No amendment or modification shall be effective unless made in writing by Alexander David Media LLC.

28. Electronic Acceptance

The Client acknowledges and agrees that placing an order, submitting payment, booking an appointment, clicking acceptance through an online booking platform, or accepting delivery of media constitutes electronic acceptance of these Terms and Conditions.

Electronic acceptance shall have the same force and effect as a handwritten signature.

29. Agreement

By placing an order, paying an invoice, scheduling an appointment, accepting delivery of media, or otherwise engaging Alexander David Media LLC, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions in their entirety.

30. No Waiver

No failure or delay by Alexander David Media LLC to enforce any provision of these Terms and Conditions shall be construed as a waiver of that provision or any other provision.

Any waiver by Alexander David Media LLC shall be effective only if made in writing and signed by an authorized representative of the company.

31. Survival

Any provisions of these Terms and Conditions which by their nature should survive completion of the services, including but not limited to:

  • Payment obligations

  • Copyright ownership

  • Licensing

  • Limitation of liability

  • Indemnification

  • Governing law

  • Dispute resolution

  • Any accrued rights or obligations

shall survive the completion, cancellation, or termination of the services.

32. Headings

Section headings are provided solely for convenience and shall not affect the interpretation of these Terms and Conditions.

33. Assignment

The Client may not assign or transfer any rights or obligations under these Terms and Conditions without the prior written consent of Alexander David Media LLC.

Alexander David Media LLC may assign its rights or obligations under these Terms and Conditions without restriction.

34. Acknowledgment

The Client acknowledges that they have had the opportunity to:

  • Read these Terms and Conditions in their entirety.

  • Ask questions regarding their contents.

  • Seek independent legal advice if desired.

The Client further acknowledges that they understand these Terms and Conditions and voluntarily agree to be bound by them.

35. Acceptance of Terms

By placing an order, submitting payment, scheduling an appointment, clicking acceptance through an online booking platform, approving an estimate, or accepting delivery of media, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions in their entirety.

These Terms and Conditions become effective immediately upon such acceptance and remain binding upon the parties.
